Overview

Since joining the firm, Haruka Nishimoto has handled a wide variety of matters including litigations, mergers and acquisitions, competition law cases, venture and start-up company financing, and corporate restructuring.

In particular, Mr. Nishimoto is well versed in handling matters in mergers and acquisitions and competition law.

In the field of mergers and acquisitions, he has been in charge of legal due diligence assessments, preparation and review of contract documents such as share transfer agreements, etc., mainly on acquisition matters of non-listed companies. In addition to supporting acquisitions of non-listed companies, he has experience in supporting the privatization of listed companies.

In the field of competition law, besides daily consultations concerning antitrust law, subcontracting law, and the Act Against Unjustifiable Premiums and Misleading Presentations, he also has practical experience in filing prior notifications required for the review of business combination plans in connection with mergers and acquisitions, and responding to the leniency program introduced by the Japan Fair Trade Commission.

Mr. Nishimoto is of the opinion that it is of high value to have a diverse range of perspectives based on a wide scope of experience to resolve legal issues, as no two legal issues are alike.  He also attaches great importance to working closely with his clients and resolving issues together with them.
