In the area of M&A, in addition to providing legal support for contract negotiations on the seller’s side in share transfer transactions, Yusuke Inoue handles matters relating to MBO’s for listed companies, due diligence with respect to conversion of listed companies into wholly owned subsidiaries through the transfer of shares and share exchanges, and assisting members of special committees.  In addition, with respect to construction and real estate, while providing support on a wide-variety of routine matters, such as consultations regarding real estate brokerage services and drafting contracts, including the terms and conditions of construction contract agreements, Mr. Inoue also had broad experience handling dispute resolution, including lawsuits concerning liability for breach of warranty, damages due to defective construction in apartment complexes, damages due to the termination of tenant agreements in commercial buildings, and negotiations regarding the use of adjacent land.  Mr. Inoue also has experience in fraud investigations, criminal prosecutions, and bankruptcy cases for major listed companies. 

Although the way attorneys are involved varies depending on the nature and scale of the matter, in every case, Mr. Inoue works with the client to determine the best course of action and works carefully and persistently toward the best solution, while communicating difficult matters in an easy-to-understand manner.
