Overview
Takuya Tome is a Partner specializing in the fields of mergers and acquisitions and corporate matters. Mr. Tome is versed in corporate law as well as Japan’s Financial Instruments and Exchange Act. He has substantial experience with respect to domestic mid-sized mergers and acquisitions, take-over bids (TOB) of listed companies, and cross-border mergers and acquisitions. Making use of his experience of having been seconded to a stock exchange as well as a prominent corporation, Mr. Tome primarily provides securities-related legal advice, including risk management for listed companies (including during the period of assessment of initial public offering), investigations into fraud by listed or unlisted entities (including assisting the establishment of and advising an internal committee or a third-party committee), advice in regard to statutory disclosure and timely disclosure (press releases), advice in relation to securities listing regulations and responses to various requests from stock exchanges, management buyouts (MBO), capital and business alliances, anti-takeover measures (introduction, maintenance and abolishment), and advice relating to Japan’s Corporate Governance Code.
